1. Introduction

Welcome to Sidasoft Technologies ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of Sidasoft Technologies' website, services, and applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not access or use our Services.

Sidasoft Technologies provides a platform for technology education, including but not limited to coding bootcamps, technical workshops, and related educational services.

2. User Accounts

2.1 Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 Account Security

You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

2.3 Account Eligibility

Our Services are available only to individuals who are at least 13 years old. If you are under 18, you may use our Services only with the involvement of a parent or guardian.

3. Payments & Refunds

3.1 Fees

You agree to pay all fees for courses and services you purchase. Fees may vary based on the specific course or service. All fees are in Nigerian Naira (₦) and are non-refundable except as specifically set forth in our Refund Policy.

3.2 Payment Methods

We accept various payment methods commonly used in Nigeria, including bank transfers, debit cards, and other payment options as indicated at the time of purchase. By providing a payment method, you represent that you are authorized to use the designated payment method.

3.3 Refund Policy

Refunds are available within 14 days of purchase for courses that have not been substantially completed (less than 30% of course content accessed). No refunds will be provided after this period or for courses that have been substantially accessed.

3.4 Price Changes

We reserve the right to change our fees at any time. Any fee change will be communicated to you in advance, and you will have the opportunity to accept the new fees or discontinue using the Services.

4. Course Content

4.1 Access to Content

Upon enrollment and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and view the course content for your personal, non-commercial, educational purposes.

4.2 Content Updates

We strive to provide current and accurate course content but do not guarantee that all content will be updated in real-time. Technology changes rapidly, and some information may become outdated after course publication.

4.3 Content Ownership

All course content, including videos, exercises, code samples, and documentation, is the property of Sidasoft Technologies or its content suppliers and protected by copyright laws.

5. User Conduct

As a condition of using our Services, you agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Share your account credentials with others
• Access or attempt to access another user's account
• Upload or share content that is unlawful, inappropriate, or offensive
• Reverse engineer, decompile, or otherwise attempt to extract the source code of our platform
• Interfere with or disrupt the Services or servers connected to the Services
• Use any automated system (such as bots) to access the Services
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

6. Intellectual Property

6.1 Our Content

All content included on our platform, such as text, graphics, logos, images, course materials, and software, is the property of Sidasoft Technologies or its content suppliers and protected by copyright, trademark, and other laws.

6.2 Your Content

You retain ownership of any content you submit, post, or display on or through our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content.

6.3 Copyright Complaints

We respect the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please contact us at legal@sidasoft.com.

7. Termination

You may terminate your account at any time by contacting us at support@sidasoft.com. We reserve the right to suspend or terminate your account and access to the Services for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Actions that may cause harm to our platform or other users

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive termination.

8. Disclaimers

THE SERVICES AND ALL INCLUDED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. SIDASOFT TECHNOLOGIES DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will function without interruption or errors. The functioning of the Services may be affected by events beyond our control, including but not limited to network issues common in some regions of Nigeria.

We do not guarantee any specific educational outcomes, career advancement, or job placement as a result of using our Services.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SIDASOFT TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT
• ANY OTHER MATTER RELATING TO THE SERVICES

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS IS LIMITED TO THE AMOUNT YOU HAVE PAID US IN THE PAST SIX MONTHS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sidasoft Technologies and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your infringement of any third party right, including without limitation any copyright, property, or privacy right
• Any claims that your content caused damage to a third party

11. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our Services, you agree to the collection and use of information in accordance with our Privacy Policy.

We comply with the Nigeria Data Protection Regulation (NDPR) and ensure that all user data is handled in accordance with these regulations.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, the parties shall first attempt to resolve the dispute through informal negotiations.

If the dispute cannot be resolved through informal negotiations, the parties agree to submit the dispute to mediation before resorting to arbitration or litigation.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the courts of Benue State, Nigeria.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the effective date of the changes.

Your continued use of the Services after any modification to these Terms will constitute your acceptance of such modification. If you do not agree to the modified Terms, you should discontinue your use of the Services.
